DEC Dell Pentium 4 3.8GHz Processor

I have a Dell GX280 Mini tower with a 2.8 processor, will it upgrade to the 3.8, ( I assume I will have to upgrade the heat sink and fan). I have upgraded the power supply to 550 Watts. Thanks
