upgrade latitude D820 from CPU intel T2300 (32 bit) to intel T7400 (64 bit) - possible?

I would like to change the CPU in my old but good D820, to one that has 64bit architecture.

I checked this on the intel site, the new CPU should be compatible, as follows:

chipset: mobile intel 945PM express

old cpu: T2300E intel core douo (32bit)

new intended cpu: T7200 intel core 2 duo (64bit)

however, could the veterans and specialists among you please tell me:

1) if the new 64bit cpu would work with the old XP32bit system? or do i need a new one (win 7) ?

2) if it would be necessary to upgrade the bios, because of the 64bit? Would it work with the existing one? (bios A10, from 2010)

3) are there other hardware components (exept the chipset) that need to be compatible with the 64bit CPU?

explanation: I am trying to upgrade my old dell because it runs good and I do not like to throw away all the peripherals (docking station, etc.) that I bought for it. The new versions would mean to buy everything new, (without major improvements for my case).

Yes, you can use the CPU.  You should upgrade to the latest BIOS BEFORE you install the CPU.  

Nothing else needs to be changed, but you must clean off the old thermal interface and apply new thermal compound or a new thermal pad to the heatink.

Any 32-bit OS will work fine on a 64-bit CPU.  It IS true that some 32-bit software won't work with a 64-bit operating system, but even there, most 32-bit software will still run fine.

There's little reason to go to a 64-bit OS on this model anyway as the RAM ceiling is too low -- at 4G max you're better off with 32-bit.

thanks a lot for the fast reply!

I was worried as I read at intel that the 64 bit architecture "needs 64bit software" and environment, board, etc.

I would have an additional question: do you think that windows XP 32 bit would work with the new 64bit CPU, or do I need an immediate upgrade to win7? thank you!
