That points to a bad CPU as the problem.

There are two different mainboards used in this model.  The one that supports two soDIMMs will take dual core CPUs.  The one that supports the quad core CPU has four soDIMM sockets.

You will need to replace your system board to use the quad core CPU.

Be careful with buying boards -- some support standard backlight screens, while others support RGB backlit screens.  They're not interchangeable.

You may find it cheaper to buy a complete used system.

Are all four soDIMM slots populated?

If they are, there are a few possibilities -- starting with a defective CPU.

no i only have 16 gig in at the moment populating two slots,

with original cup everything works

but when new is installed, you here fan spin up, power light comes on for a few seconds, then restarts, in continues loop?

The quad core CPU needs all four memory sockets populated.
