Hard to figure it out?

I bought a case and motherboard combo GX520 SFF. The unit was new. It has some scratches so it was rejected by Dell.
 
Anyway, I hooked everything up, DVD,80GB Sata HD, 512 DDR2 Ram etc.... I put in a celeron D chip, 3.46Ghz, and the system wont go past the opening bios page that says Alert! System Halted. Incompatable processor.
I bought the chip from newegg brand new. I thought maybe it would boot up with a smaller chip that I have in my sisters GX520 "that I built" a Celeron D 2.66Ghz chip. I know these work in the GX 520s. But still I get the same alert.  What can I do? It starts with system setup in green letters, then the alert after right away.  Anyone know what I can do?????
I've tried removing jumpers and battery and disconnecting everything from the mobo but the memory and processor with heatsink same warning with either chip.
My niece has a gx620 MT with a 3.33 Celeron D chip. It works fine and like I said my sisters is the same model 2.66GHz Celeron D I bought.
HELP!

The question is how can I apply the lastest Bios if it wont boot past the alert?  I tried 2 different processors and it gives me the same alert. The Bios in it is A02.

I thought you got a wokring slower CPU with the parts.
 
So the CPU that is in your sisters PC works in its board so what BIOS is it on?
 
And the same CPU does not work in your system with A02, correct?
 
Is this will only the add in Video card or no cards at all if it has onboard video?
(I know you said you did this but just double checking)

My suggestion is that since you did not mention you have the latest BIOS to get that and apply it then swap the CPU again.

Actually, I only bought the case and Motherboard together with no processor, I added all the other stuff new.
 
I dont know the bios in my sis's PC, but it seems as if there will be no way to update the Bios in mine unless I can get it started past the alert screen.
 
Everything lights up. It sounds and looks like it is a fine mobo. I just cant imagine why it wont even except the Intel Celeron D 331 Prescott 2.66GHz LGA 775 Processor Model BX80547RE2667CN ....I've seen an ad earlier where dell sold it on the lowest priced SFF GX520 new.

Unplug all USB items unless your keyboard is USB and also wait for a few minutes and see if it changes. I have had Dell motherboards do this but eventually I got them working but the fix was alway elusive and seemingly random.

Here are the supported processors for that model, but you must have the latest bios installed for some of these to be recognized.
You may have to install a slower CPU just to flash.

Ok,I put in a 2.8 P4.Looks like it excepts it, BUT It wont boot up at all and shows lights 3 and 4 together which means memory failure. Its the same ram I had in my gx 520 midtower, the same type in my sis's gx620 desktop, PC2 4200 533. I was told that I should try some crucial ram. I put that in and still lights 3 AND 4. Now what the heck? I have 4 sticks of different types of ram, all pc2 4200 533 DDR2, and all of them get the same message. I bought a 2nd Mobo last week to make sure it wasnt the mobo that was bad with all the problems I was having, but it behaves exactly the same way.

Have you tried just one stick of RAM?  Maybe it has a bad socket, try the one for the second pair rather than first pair.

Tried every combo I can and it wont get past anything accept light 3 and 4 together. I ordered a Dell memory stick Friday. Thats the last try.
