Precision 3400 motherboard in precision 390 chassis

I have looked at both boards, and they seem pretty similar in layout. Can I install a 3400 board in my 390 chassis? If so, will the CPU fan and heatsink fit too?

I want the updated specs of the 3400, but don't feel like buying a whole new system.
