Inspiron 2200 Laptop Won't Boot

I have a four year old Inspiron 2200 laptop and it is failing to boot.  Windows XP shows the splash screen and the progress bar at startup but fails with the Blue Screen of Death (Fatal System Error) The session manager initialization system process terminated unexpectedly with a status of 0xc0000034 (0x00000000-0x00000000) system has been shut down.

Booted trying f8 and safe mode, failed also

Booted using f12 and ran diagnostic, failed first test CPU time stamp calibration (failed) 1000-0234 failed waiting for RTC update flag to set

Any Ideas?
