Just wanted to give an update... for the sake of making old things work...I decided to keep persisting on the installation of Win2k3 Std and I had success. I wanted to say thank you to the people who responded to my questions. It helped me stumble my way through. What I did to make it work, is download SMTD ISO images 1 & 2 from dell ftp site using "SmartFTP" client and merged them into 1 ISO with the "copy" command at DOS prompt and  burned it to a disk with Power ISO. Popped the disk in to my PowerEdge 840 and booted to it and everything went smooth from there.
