"Exception OE" Shutdown Error?

I have been getting error messages **NOT EVERY TIME**, but about 2 out of every 5 times I shut down the computer. Both messages are fairly similar, and I don't think they are serious, but I want to get the problem fixed anyway before it gets worse. These messages appear on shutdown, AFTER the "Please wait while Windows shuts down" screen.

Here are the 2 error messages I am getting:

The first error message---

WINDOWS:
An exception OE has occured at 0028:DD97EE08 in VxD ---. This was called from 0028:C001C3D4 in VxD NDIS (01) + 00004860. It may be possible to continue as normally.
*Press any key to continue.
*Press ctrl+alt+del to restart your computer. You will lose any unsaved information in all applications. Press any key to continue.

~~~~~~~~~~~~~~~~~~~~
The second error message---
WINDOWS:
An exception OE has occured at 0028:C000220E in VxD UMM(01) + 0000120E. This was called from 0028:C001C3D4 in VxD NDIS (01) 00004860. It may be possible to continue as normally.
*Press any key to continue.
*Press ctrl+alt+del to restart your computer. You will lose any unsaved information in all applications. Press any key to continue.
~~~~~~~~~~~~~~~~~~~~~

I notice for each I can "press any key to continue as normally"... and when I do, nothing happens. Then I try to control-alt-del, and STILL nothing happens.

Again, I hope to get this problem fixed as soon as possible. Any help on the matter would be greatly appreciated.

    A search on your error message returned several posts. Every fix I found was traced to defective or incompatible memory. Start by reseating you RAM modules. I would also run RAM diagnostics.

    My new Dimension 4300 has the same problem. On shutdown - blue "windows error" screen 0E:0028:C0030AEC. Machine freezes...can't reboot. Must power down.
    Just wondering if/what resolved your problem? Was it memory or something else? Any help would be great. Thanks.

    unfortunately... no.

    I have contacted Dell tech support several times (didn't do a whole lot of good), and I think that I have narrowed it down to problems concerning my wireless network card,because I started getting this problem about the same time I installed the card.

    I dunno if you have the same card or not, it's a USR wireless adapter. If you want the model # i'm sure I can dig it up from somewhere....

    but no, I haven't fixed the problem. Lemme know if you find out anything new.
