you maybe right i have been trouble shooting and found one of the 5 kits for the ddr2 optiplex 320
worked a 1 gig kit, all the kits work, i tested them on anther machine, using one stick atm, works, ima see updating the bios will do anything for the other kits,
thanks for the feed back,
i'll post the kit im using that worked see if it could help anyone else
The 1st pgh. also goes for your 320 (ram shouldn't be mixed). From the 380 Tech Guide:
Memory Your computer supports a maximum of 4 GB1 of memory when you use two 2-GB DIMMs. Memory modules should be installed in pairs of matched memory size, speed, and technology. If the memory modules are not installed in matched pairs, the computer will continue to operate, but with a slight reduction in performance.

Code 1-3-2 is associated with memory and if not the memory then the motherboard.
These are mid 2000 era machines. I would go for a different (won't find a new) motherboard first, rather than a CPU.
One source I found for motherboards. I know nothing about this site except I found it doing a search.

The 1-3-2 beepcode means system not recognizing memory
