This typically occurs due to mis-configuration of the authentication settings on the switch. At this point, you should use the password recovery procedure to gain access to the switch and delete the startup-config file.

During boot, you will get a prompt to hit Esc or Enter to abort and enter prom. In the startup menu, choose Password Recovery (Option 4). The switch will reboot and ignore any authentication parameters. Use the "delete start" command to delete the startup configuration and "reload" to reboot the switch.

If you cannot enter the startup menu, you might be having terminal emulation problems. If you are using the version of hyperterminal packaged with Windows, I would suggest downloading either HyperTerminal Private Edition or Tera Term.

I got in to the switch thru telnet and ended restoring it back to factory settings.. Then re-settng it back up..
