UD.EXE Has Stopped Working

I keep getting the error "UD.EXE has stopped working" when Vista Ultimate has justed booted up.  Any ideas on how to get it to work again, and what does this file do?  it is in the windows\system32 directory.

    Yeah I already checked out ud.exe, and its not the ud.exe for united device agnet, which I never loaded.  It seems to be tied into NVCPL, which sound like something to do with Nvidia.

    NVCL would be the nvidia control panel what is your video card and possibly your motherboard chipset?
