Adding a second Xeon to existing system?

I have done some searching on here and talked to dell about doing this but I am hesitant on which way to go. I currently have a 1.4 ghz 400mhz 512k and would like to take advantage of the 2 cpu. After speaking with Dell parts I was given a price near $300 for a kit with processor,fan , vrm. But after a search on the internet and realizing there is not many places selling 1.4 Xeon's I did find a place selling them for under a $100. So after a fan and vrm from dell I would be around $150, half the price. I have read of others having problems with different voltage cpu's anb vrm's so if I just double check to make sure my vrm from dell is the same as my current and future cpu would I be in the clear? Any and all help or advice is appreciated.
