OEM (factory installed) licenses are tied to the hardware and licenses can not be transferred per the license agreement from Microsoft. It doesn't matter that both are Dell servers.
Volume licenses and retail licenses can be transferred though.

Gjavolot,
You can transfer the Server 2012 license as long as it isn't the OEM version. If the OS was preinstalled then there isn't an option to transfer licensing.
