dell poweredge 2970 processor upgrade
would a dell poweredge 2970 with one 750w psu be able to power 2 AMD Opteron 2435 2.6GHz 6-Core processors 8 2gb sticks ddr2 also will the processors work?

The processors are compatible, i would be certain to update the BIOS, Drac/BSM, as well as the raid controller before you try upgrading though. This will limit any issue you have with upgrading devices.
Let me know how the hardware upgrades go.
