EM is mostly a data collection tool (though you can do some management tasks from it). You should not have any problems doing an in place upgrade of it. Just check the minimum versions of things like Storage Center version, Java versions, etc. prior to upgrading and have those in place for a seamless upgrade. The most that would happen is a gap in data collection until you can fix it.
If you wanted to do a net new install, you can contact Copilot and they can assist with re-importing the data from the old database.
