Check and see if the switch has DHCP Filtering enabled. It may be filtering DHCP from the PIX.

Thanks for responding. I am not sure if the switch has this feature turned on as i reviewed its running config. The PIX is configured from the ground up so I don't think it has dhcp filtering enabled as well.
