If you are just trying to format by right-clicking on the drive and selecting format, Windows won't let you format the drive.

Try instead right-clicking on My Computer and selecting Manage.  Go to the Disk Management item under storage.  Now right-click on the drive and select format.  It will still give you a message saying that the partion is in use, but it should now give you the option of forcing the format.

You can also use Disk Management to add/delete partitions if you wish.  Just be careful as to which drive your formatting.

If this doesn't work, you might also try booting into Safe Mode by holding down the F8 key before the Windows XP splash screen appears.
