XPS 8940, Crucial ram compatibility?
Can you use 2x Crucial 64GB Kit (32GBx2) DDR4 3200 MT/s CL22 DIMM 288-Pin Memory - CT2K32G4DFD832A so 4 x 32gb ram modules at 3200 mt/s in a dell xps 8940 to acheive 128gb ram? Or does it only support 2933?

Specs for the XPS 8940 say, quote:
NOTE: The computer is shipped with 3200 MHz memory. However, with Intel Core i3/i5 processors, it is limited to 2666 MHz. With Intel Core i7/i9 processors, it is limited to 2933 MHz.
That answers your question...

So if you buy 3200 Mhz ram will it down clock automatically at 2933mhz on the xps 8940 I plan on buying 4 of these for my xps 8940 that runs i9-10900k system: https://www.amazon.com/dp/B07ZLHD4F8 Will 4 of them work? @RoHe

How much RAM do you have now and many modules is that?
Do you really need 128 GB of RAM? You could keep at least one pair of the Dell OEM modules and add 2 new modules.
Check Crucial to see if they recommend those specific 32-GB modules that you linked for the XPS 8940. If they recommend RAM for a specific PC model on their own site, they guarantee it will work. And if they don't recommend those exact modules, you could contact Crucial directly with questions.

Well i have 32gb ram 2933mhz from dell so it wouldn't help if i mixed two 16gb 2933 ram modules with 2x 32gb 3200mhz modules.
Crucial says they are compatible via amazon response even though they are not officially listed on on their website

Dell does not list that configuration as a supported configuration but that does not mean it does not work. In this forum, there are examples of non-supported configurations in other XPS systems that have worked fine.

Trying 96 GB (2x16 Dell + 2x32 GB Crucial) isn't much of a risk.
You could try that, assuming 96 GB is enough RAM for you. And if that doesn't work and/or you want the full 128 GB, you can always buy another 2x 32 GB Crucial modules.
There is no speed difference between the Dell and Crucial modules because Dell installs 3200 MHz RAM, just like the Crucial RAM, and it all clocks down to 2933 MHz, the max speed allowed by this PC, assuming you have an i7 or i9 CPU.
And you could sell the OEM RAM to recoup some of your money...
