Doesnt shutdown properly and "System Resources are low. Some Programs may not run" message

Recently I have found that my machine does not shutdown properly.  I have run all the checks that I know of (detailed below in my system properties list ) below as well as running scandisk, defrag and System Mechanic. 
 
When I shutdown, windows closes and then I get a 'black' screen and it just stays there.  I then have to press standby to switch if off completely.  Then when I startup, scandisc runs before loading windows.  WIndows never loads into safe mode anymore.
 
Also I have just checked my System Resources and it shows "Very low 1% free - see below".  Below that states "System Resources are low.  Some Programs may not run".  The only thing hardware-wise that has changed is that I have added more memory.
 
Any ideas on how to monitor what is doing this?

Reduce the number of prgrams loading at startup. That is the only way to free up system resources (adding memory beyond 128M with DOS does nothing for system resources).

I would also scan for a virus, and run Spybot - Search and Destroy and also AdAware, both free from www.download.com.
