HELP! PC constantly freezes!

Hi, I have a Dell xpst750r with Windows 98 SE. My computer freezes at least 5 times or more on a daily basis. This freeze happens in a lot of situations, but especially when there is a short amount of time of inactivity and then I start using a program. Most of the time, the program freezes when I am using AOL, Musicmatch or Windows Media player. But then again, those are the programs I use the most, so it would probably freeze with any program. When the computer freezes, usually I have no choice but to hit CTRL ALT and DELT. When I do this, usually the blue screen pops up that tells me its waiting for the "close program" box to come and and I could wait or hit CTRL ALT DELT again to reboot. If I choose to wait- nothing happens. If I try hitting CTRL ALT DELT again, a second blue screen pops up that says that a fatal exception has occurred in 0302:00000000 if that means anything... I asked if I upgraded memory if this would eliminate the problem, and everyone said no. I did a virus scan, scan disk with repair, and defragged... Still no dice. I dont want to reinstall windows cause that is a big pain in the ass! Any other suggestions? Anyone who can help me tackle this challenge I will have great respect for and I will leave you all my worldly possessions in my will (which is not much except this PC...lol)
