Hi Patricia - I think I get what you're asking. I see a few questions there I may be able to help with:
1) Can you use ESX 4.0 --- Yes
2) Do you need client licenses if you change to backing up with Proxy host and VCB instead? --- Yes – but you only need one client license for the proxy in that case.
3) Should you upgrade to 7.6? --- Upgrading to 7.6 is not a requirement to use VCB but 7.6 does simplify the use of VCB quite a bit and gives the single pass backup (for Windows OS) that provides you both image level and granular file level recovery. If it is feasible for you to upgrade, it's worth doing – or go to the 7.6 SP1 release coming shortly.
4) For proxy: At this time – the proxy supported by NetWorker with VCB is Windows 2003 with SP1 as a minimum (SP2 OK) so sound like you’re OK there. I believe 7.6 SP1 expands that support to Windows Server 2008 as well (I’ll double check).
Attached is a paper from which you might be able to glean some good info. This is for 7.5.x but has details that will be helpful in 7.6 as well.
Maybe others here can make some more technical recommendations based on what you’ve outlined. If you have any more ideas/thoughts, shoot them back over.

I did look into the Win2008 proxy i mentioned and it is not supported in 7.6 SP1 but will be in the release noted in the above links.
