Windows 98 has a limit as to how many entries can work in the networking list, so I would identify ANY entry in that list you can do without and Remove it (before re-booting), including the network adapater itself. I don't know about the ADSL (not familiar) however in our LAN environment, once we have network adapater set (with no resource conflict mark) we also have to include settings for TCP/IP and (for us) NETBEUI (make it the default) as well as, sometimes, file and print sharing.

The Windows 98 steps are quite involved and sometimes I struggle and struggle before finally hitting on the right combination. If you do not get it to work with these suggestions then knowing exactly which steps you have taken (up to that point, the most recent attempt(s) ) could be helpful.

honestly after a week of non-stop troubleshooting, installing, uninstalling and re-installing these drivers and other versions I found between Dell and 3COM website, I gave up

I went and bought a USB adapter for my ethernet cable & bypassed my NIC.  At some point I am going to go back and try to figure this thing out.  I'm sure your suggestions will be helpful then.  Until then, I appreciate your help and will re-post my results if there are any
