This sounds suspiciously like you have contracted a virus. Make sure that you have up to date virus definitions and run a full system scan with your antivirus software.
If you have done the virus scan (that volcano11 recommended) and come up clean. Delete notepad.exe from your system.
Then go to Start|Run, type
SFC and click OK. Tell System File Checker to extract one file (notepad.exe) from the installation CD (your Windows 98 CD). Point the extraction at D:\Win98 (assuming D: is your CD-ROM drive) and tell SFC to put the extracted file in C:\Windows. This procedure normally fails because SFC is not told to look in the Win98 folder.
