processor mismatch/vrm failure for 2nd cpu - precision 450

these forums helped guide me in my attempt to add an extra cpu to my precision 450. now, i hope this forum can help me figure out what went wrong... =)
i purchased the VRM (4K666) and heat sink from dell and obtained the cpu from ebay. the cpu sspecs match (SL6VM), as does the stepping, cache size, etc. i started my machine with each processor individually and verified the processor info in the BIOS set-up. identical.
however, when i try and use both, i get the A+C leds and my machine will not boot. that error code corresponds to a processor mismatch or VRM failure, but i'm pretty certain the VRM is fine.
given the processors match, what else could be the problem? is a certain range of processor serial numbers required?
