What happened to cause the problem to start with? Did you do a reinstall? and if you did a reinstall did you install the Intel Chipset Drivers? (which sounds like the problem).
A little more on the background and what you've attempted and the reason the drivers will not install.
The Intel chipset drivers define what is on or attached to the motherboard and if they were not installed (or are corrupted) devices will not be found or drivers will not be able to be installed.
On a new install, the correct sequence is (1) Install Windows (2) Install chipset drivers (3) Install device drivers such as sound, video, network, etc.
Also, if you remove the PCI network card, will the drivers for the on-board install? Maybe a conflict between the two?
HERE is the Dell Downloads for the 3000 and Windows XP. Download and install the Intel chipset drivers and the Intel Pro 100 drivers from the downloads page. This may fix the problem.
I did not do a reinstall but I did uninstall the network card. I can see the card in the device manager but it has this error. Also when I uninstall when I boot back up it finds the card and reinstalls it but I get the same error. code 31. The network adaptor is part of main board.
Do a google search for "Code 31" and see if any of the "hits" are what the problem you are having, there is a lot of info.
Microsoft says it's a driver problem. But, since you are having the problem with both the on board and a PCI card, it could be an Operating System problem (and require a complete reinstall) or a motherboard hardware problem and in that case the motherboard would have to be replaced (and only another Dell same model motherboard will fit/work).
