There should be a copy of MSDOS.SYS on your emergency boot floppy. You can copy it from there to C:\ and boot normally.

If it isn't there, post the operating system you are using and someone (I will, if it's Win98 SE) will email you a copy of theirs.

Are you sure it's missing? MSDOS.SYS has it's "Hidden" file attribute set, so you may not see it, even though it's there. Try this first:

Open "My Computer" and doubleclick on your C: drive.
From the menu click "View" > "Folder Options".
Now click on the "View" tab and below Hidden files select "Show all files". Click [OK]

If you still don't see a file called MSDOS.SYS, you can create one yourself. Just copy and paste the text below into Notepad and save it in the root directory of you boot disk. (Just check the name of the windows directory and the boot drive first, if it's not C and C:\WINDOWS, change it in Notepad).
After you've saved the file, activate it's readonly and hidden file attributes by rightclicking on the file and selecting "Properties" from the popup menu.
