dimension 2400 cpu upgrade problems

trying to upgrade cpu from celeron 2.4 to pentium 4 3.06.  see this upgrade works all the time on the net!  when the p4 is installed, it shows up in BIOS, but when bios is exited windows xp will not boot and goes to black screen.  tried isolating cd drive in bios to do clean install, but once again after the "hit any key to run cd drive" nothing but black screen. all these options work fine when the celeron is reinstalled.  tried cmos battery also, no help. could cpu show up in bios and still be bad? dont know what im missing.

2G ram

nvidia geforce 6200 vid card

Is the CPU designation SL6PG? If not, what is it?

yes, SL6PG. also, i have the most recent version of BIOS, a05.

Ok, please check your four diagnostic lights on the back and let me know if you see anything other than four green lights? Do you get any beeps?

I think the CPU must be bad. Sorry but I don't have more ideas.
