Understood, but the motherboard and other components are capable of 64bit and 8gb of ram.........do you see any bottle necks?

As long as you have a Core 2 Duo CPU you are set for 64-bit support.
You can't upgrade 32- to 64-bit - you'd need to do a clean install.
The system will take up to 8G of RAM (2X4).
