About 3.25 GB will be recognized by XP 32 bit.  That is generally more than most XP users will ever need, but if the price is right, go for it.

Windows XP Pro can use 4GB of RAM. The 32-bit versions of Windows Vista can use a maximum of 3.12GB of RAM.

XP Pro IS 32-bit and has the same memory limit as XP Home, just over 3G.

 

64-bit XP can theoretically use all 4G, but practically speaking, on most systems, hardware architecture prevents that.
