I'm not aware of any specific restrictions on specific processors from a supported series, so they should.

There is very little difference between the II and III, but most importantly, the processors supported differ (below).  Both support 64GB of RAM, and I believe both support 1333MHz FSB, TOE, and TPM (that sets them apart from version I, as it supports only 32GB RAM and 1066MHz, with no TOE or TPM).

5400-series processors can be installed on the 2950 III only (rI-5100, rII-5300, rIII-5400).

5500-series processors are not suppported on any version of the 2950.

So the 2950 II will accept say a Xeon X5355 or an X5365?
