Not all 800MHz FSB procs will work on a 800MHz MB ... voltage, chipset, etc. will play a role in whether or not it is supported.  The E5400 is a Wolfdale processor, which I believe is only supported in the 9th generation of servers (1900, 2900, 2950, etc.).  You might call Dell to confirm which line of procs are supported.  The call is free ... 800.822.8965.  Occasionally, there is someone from Dell that will see these, so maybe someone will post it here too.

Recently Picked up one of these yesterday.  No Drives, No Ram.  Says ECC but I used PC2 4200 Desktop Non ECC Dimms and it worked.   Latest Bios A04 allows Pentium D processors.  Windows 2003 server Runs in ATA mode for CDROM and For Sata Drive.     Very strange way it can boot from USB flash.  You put bootable Usb Flash in and boot from it by changing the boot order and devices to USB hard drive emulation.
