Precision 3450 SFF NIC shuts down after a few seconds

I am currently using a Dell Precision Workstation 3450 SFF. Following any reboot or shutdown/restart, the NIC comes up for a few seconds, gets assigned a valid IP address, then shuts down. the IP is able to ping during those few seconds, but once it shuts down, nothing. I have uninstalled drivers and reinstalled the latest drivers and BIOS with no improvement. I have been able to "disable" the NIC before rebooting and then re-enable it following the reboot. This did get the NOC back online, several times. However, since this is a remotely managed system, the disable/enable process does not really work as a permanent solution. 

any insight would be appreciated.

Have you tried to go into the driver's properties of the network adapter, and disable the "allow windows to turn off the device to save power" ?
