Looks like you have many software programs running at shutdown, it could be any one of these that is unresponsive at shutdown causing it to hang, try shutting down any systray apps before shutting down to see if the symptom goes away, if it does then you know it is one of those systray apps causing it.
For What it's worth, I have had problems with Webroot Spy Sweeper hanging up on my PC. It was the same problem you describe with both Win 98SE and XP MCE 2005. The only solution that I found was that I didn't run Spy Sweeper in resident mode. Instead, I would start it up, run a scan and then close the program. You might try that for a few days and if you discover that the hangups disappear, you might contact Webroot to see what suggestions they have.
Always close all open apps like Word, browser, etc before shutting down. And for shutdown issues, try installing User Profile Hive Cleanup Service (uphclean.exe), free from Microsoft. Once installed, it becomes part of XP and runs in background to clean up the shutdown mess. Doesn't fix everything...
I shutdown Spy Sweeper and disabled the startup option. I also disabled all startup items except for Trend Micro, the system was still hanging at shutdown.
I downloaded and installed User Profile Hive Cleanup Service. After this install, Windows shutdown without any hangups. Though I still don't know which app was running, I think my problem has been solved.
