kmode_exception_not_handled

kmode_exception_not_handled error occurs when I attempt to install Win 2k. It goes through the process of booting to the cd but when it gets to starting windows it get this error with a blue screen. It sometimes points to oskernel.exe There is nothing on the hard drive. It is formated with fat32. I cannot get to the " " for setup screen with out getting this error.  Before I formatted and attempted the reload. Win2k was locking up and running sluggish. So that is why I decided to relaod. But now I can not reload. I think I may  have a memory issue. I there a way to run setup for Win2k in dos. I can boot to win98 setup disk and get to dos.

I came back in a couple of days and the install took. I assume it took because memory was clear.
I attempted to update to sp4 and the install hung. So I went back to reloading the OS since win2k would no longer boot. Once again I got kmode..... in ntoskernel. Im shutting down for while to see if I can get passed this bsod and reload the OS again. I think I have a problem with my RAM I only have 128mb stick installed, but I think it a bad ram chip.
