If you are using Windows ME, it is because it has a serious memory leak. I had the same problem and I had 512 mb RAM. I had to send my computer back and get Windows 2000, and since then no more low memory messages.

The program is probably telling you that your resources are getting low. To help correct this, you can reduce the number of programs loading at startup. The second link under my signature provides some helpful information in this regard.

Resources are not related to the amount of RAM you have installed.
