Vpras,
With Windows 98, the default shutdown method is "Fast Shutdown". There have been some problems with fast shutdown. Microsoft has some information in their knowledgebase about these problems and some resolutions. One thing that can be done for fast shutdown is to disable it. You can try this and see if it fixes your problem. For instructions on how to disable fast shutdown, check the Microsoft Knowldege Base (MSKB) for the following article:

BigBrother;

I found the article you referred to and followed the directions accordingly. The factory setting from Dell was "Disable Fast Shutdown" (box already checked). I figured what the heck, I'll uncheck it. That caused the computer to not shut down at all, rather it only restarted (go figure). I rechecked the box and the problem remains as I originally descibed it. Any additonal thoughts are appreciated!

Followed search "vectors" to solution provided by doug118. Worked great for now! Thanks for the assistance.
