Upgrade form a 2.4ghz P4 to 2.66 with HT and an 800 system bus
or upgrade formk 512 dual channel ram to 1024 dual channel ram with heat spreader?

Neither of the upgrades that you list will be very cost effective. A .26GHz increase in CPU speed is really no increase that you would ever see. Going from 512MB to 1GB of memory might show some performace increase if you edit very large graphics files, edit digital movies, or use AutoCad or another memory intensive program. What do you want to do with your computer? Tell us that and we can see what real upgrade will help and be cost effective. If you want to check prices for two 256MB chips for your model number use the Crucial RAM picker. It looks to be about $55 at todays prices.
