Checkpoint {EMem} error message on bootup

I swapped out a motherboard in my GX110 with another working GX110 boaard and on bootup I'm getting the following message, "Alert!  Previous attempts at booting this system have failed at checkpoint  {EMem}.  For help in resolving this problem please note this chekpoint and contact Dell Technical Support."   Any advice would be appreciated.  Thanks.

You have incompatable ram. Its using the 8meg buffer onboard.
Some versions of the GX110 motherboard have 8 meg of ram for video. When you set this for 1 meg in bios and remove all dimms it will boot dos and show 7 megs of system ram.

I can't get into the BIOS because on boot up it locks up about a third of the way on the progress bar.  I got the system message after hitting reset a few times.   I've changed the RAM sticks with the same results.  I noticed this mobo BIOS is A02 and the other GX110s I've rebuilt were at A09.  Could this be a factor and if so how do I change it since I can't get past boot up?
