Try temporarily disabling all firewalls, inlcuding the Windows firewall and any third party firewalls.  If it solves the problem, you then know where you have to start looking.

Firewalls are disabled on both computers... its not that.

I only ask this again because my experience on many questions posted here on the forums is that we go over and over alot of possibities, only to find, after serveral days of back and forth postings, that the user says something like "Oh, I didn't realize the McAffee Security Center/Norton Internet Security/Zone Alarm etc. has a firewall. disabling that firewall solved the problem".  Are you absolutely 100% sure that all firewalls are disabled or configured properly to all local network traffic?
