I 've upgraded the chipset (from Intel support site); I've re-installed (upgraded) the drivers (from Microsoft -- it detected that my nic was a having problem);
And it still didn't work.
I went to compuUsa and bought a Linksys card ($24.99, less $10.00 rebate). Plugged it in. Worked the first time.
Although I'm now one PCI slot poor, I am very happy.

Thanks for the reply.
However, I have no idea where to get the intel chipset drivers.
I've visited the Intel support center, but for me it was too confusing to find the drivers that are right for my network adapter.
I've spent a whole day on this problem and I am totally exhausted.
I'm thinking about doing the following to see if it will work.
1. Go to a computer store and buy a new Ethernet card that will work with XP.
2. Install the new one and disable the old card.
Will that work?
