Processor E5420 to 64-Bit processor

Question

I have a Poweredge 1950 with Intel(R) Xeon(R) CPU E5420 @ 2.50GHz quad-core processor installed, is it possible to upgrade this processor to a 64-bit Processor as i have to shift from Windows 2003 R2 to Windows 2008 R2 Enterprise edition

thanks daniel, my E5420 is capable of EM64T but its not ENABLE / NOT APPLICABLE can you guide me how can i do so... my servers are still under warranty from DELL
