Sounds like messenger service pop-ups. (Messenger service has nothing to do with IM clients Windows Messenger or MSN Messenger).
Messenger service is enabled by default, but not needed on a system that is not on a corporate LAN. To disable messenger service:
Start -> Run, type in services.msc and click OK
Find Messenger in the list and double click on it.
Change Startup type to Disabled and click Apply.
Click the Stop button and OK your way out.
Also download and install some free pop-up killers. Free-surfer is the one that comes to my mind. Or if you are a fan of Google, try download/install Google Toolbar. This way you can have search engine as well as pop-up killer.

I disabled messenger service with no effect. I down loaded "Shoot the Messenger" with no effect.
Any other suggestions?

Have you got any firewall in your machine? If not, install any of the following excellent free firewalls -
+ Kerio personal firewall (http://www.kerio.com/kpf_home.html)
+ Zone Alarm (http://www.zonealarm.com)
