BSOD 0x6B Need major help

Alright forum universe i have a doozy for everyone. I have gotten a BSOD 0x6B process1_initializtion_failed. I've checked support.microsoft.com but all i could find was an article about Roxio GoBack. Well i don't have that program. I've ran all the 32 bit diags on the hardware and everything has passed. Now here's the kicker: I've reinstalled the OS (yes i deleted the partition and formatted) 3 days ago because i had gotten a 0x24 BSOD. I ran chkdsk /r for that one and it got into windows fine so i had backed everything up and reinstalled windows.
 
I have an Inspiron 6000. Nothing too flashy with it. If i have left everything out let me know and i'll repost.

Oh yeah 1 more thing i've checked http://aumha.org/a/stop.htm. To me that's one of the best BSOD sites and it doesn't list anything about that error so it's looking pretty gloomy

The Stop: 0x0000006B error message is summarized on www.aumha.org under the 5A category and links to the Microsoft KB 330134 regarding Roxio GoBack. 

There are other things that can cause Stop: 0x0000006B.  It can also be caused by a corrupt system file (usually the ntdll.dll system file in the C:\Windows\System32 directory).  This is usually caused by a bad block in the system file area of the hard drive.  It can also be caused by an incorrect driver being loaded.

I would try a repair install of XP first.  Boot on the Windows XP CD.  Press Enter at the Setup Screen.  Press "R" on the Windows Installation screen to repair your current XP installation.  See if this fixes your problem.  Disconnect any external devices such as USB drives, printers, PCMCIA cards, etcetera before running a Repair Install.

only problem with xp repair over install is that ctrl f11 stops working unless person has ghost 8 or above boot cd to redo image restore. (you can try 3rd party tool dsrfix not supported by dell or symantec to restore ctrl f11 bootsector after repair is done and u want to quick wipe system)

Yeah i didn't do a repair and the image for pc restore was gone a long time ago. So here's what i did: Since i have no clue what the 0x6B is cause i've never seen it before i decided to do a parallel install and then download the windows debugging tool so i can see what the mini crash dumps said.
Here's what's interesting i had 2 dumps and they both said "unkown_image" was the cause. So i have no clue what it is. If anyone has any other suggestions let me know. I know i'm going to reinstall the OS completely anyway but i was just curious about what the heck happened.

Did either of the two dumps refer to a system file or driver?  Unknown image errors have been reported that referenced USB devices.  Others have been reported with games that apparently do not release memory correctly.  You reported no problems found with your diagnostics, so we'll assume there's no problem with your memory chips.

oh yeah no problem with memory...and no the dumps didn't give a file name just said unknown image. As for usb's all i have is my printer. Don't think that's a problem cause it's fine right now. And games well i don't play them.
 
Just weird how it all happened...can't seem to pin point the cause

If the parallel install works OK, but the original install doesn't, the 0x6b error's "unknown image" could be almost anything.  Is there any other information in the minidumps that could give us a clue?
