Try downloading the microsoft memory tester.
 
 
Run this tool to check for bad memory. If you have multiple sticks of memory, run the test on each stick individually.

Thanks for the tip
Tried that and it reported all is well with the memory...
I am heavyly leaning towards some drive conflict....
guess i will have to try things one at a time....
