What do you mean when you say the upgrade CD says it is not compatible? Is that information on the label of the CD or is it a message you receive when you attempt to boot to the CD?
Windows 2000 is a qualifying operating system for an upgrade to Windows XP. You should be able to do a clean installation of XP by booting to the upgrade CD and inserting your Windows 2K (or Windows ME reinstallation) CD when prompted by the installation program.
Win 2000 does not qualify for XP Home--it qualifies for XP Pro. However ME does qualify for XP Home Edition. You have to do a clean install and show the ME disk for proof of previous ownership when asked. 95 , 3.51, 4.0 & 2000 Professional don't qualify for Upgrade but should qualify for Clean Install. --------------------- Edit: So looks like you need to delete previous Windows OS 1st (if you can) to have Clean Install from XP CD & use 95 , 3.51 , 4.0 or 2000 Professional Cd's.

Thanks for the clarification. That would explain the error message that was produced. With luck, the original poster has saved his ME Reinstallation CD.

It will give message as now "doesn't qualify" as assumes Upgrade from detected OS & doesn't allow Clean Install.
(if the user can't delete old (2000) OS they could re-install Window ME & this would allow Clean Install to be selected later.) Should be able to delete current OS with Command Prompt Format C: (not allowed from XP but was allowed with my old 95 & probaly from 2000. ?)

Quite frankly, I don't believe the XP CD "scans" the system looking for a qualifying operating system. If it did, there would be no need to insert the CD of such a system during a clean install. When you boot to the XP Upgrade CD everything that is done is done from that CD. The hard disk is written to but not read.

We are referring to use of Upgrade CD so of course it needs to scan for installed Windows OS , so it can continue with Upgrade (or clean install) if Windows OS is found & "qualifies" for use of Upgrade CD. If found Windows OS doesn't qualify you get Error message "doesn't qualify".

Since I have windows 2000 prof already installed, when I use the upgrade procedure .. it does not even give me an option to do a clean install, it justs pops an error that OS is not compatible. So the only way I guess is to format the harddisk and I hope the XP upgrade CD works for the clean install. And yes I do have the orginal Millenium CD provided by dell.
To do a clean install, I am not sure which path i need to follow:
1. do I need to use a win 2k prof boot floppy and format C drive from command prompt , and then insert XP upgrade CD?
2. Boot with win 2k prof OS , format C drive from DOS command prompt in explorer. Insert XP upgrade CD.

If Windows PRO allows Format command on boot partition from true DOS (Command Prompt) use it : command format c:
If not boot from Windows 2000 CD & select Recovery Console then use Command DISKPART to Delete Partition.

Win 2000 does not qualify for XP Home--it qualifies for XP Pro. However ME does qualify for XP Home Edition. We are referring to use of Upgrade CD so of course it needs to scan for installed Windows OS , so it can continue with Upgrade (or clean install) if Windows OS is found & "qualifies" for use of Upgrade CD.
If found Windows OS doesn't qualify you get Error message "doesn't qualify".
