Roger,  I had the same problem after SP2 and I sent an email assist request to microsoft and got the solution with 24 hours. The cause of mine was:

third party software,  IPMon32 from Verizon, My ISP

My Solution Was:

a. Click Start, go to Run, and type "msconfig" in the open box to
start the System Configuration Utility.
b. Click the Startup tab, uncheck the item related to IPMon32 and click OK. 
c. Reboot and check the Control Panel.

The form is at http://www.microsoft.com/  under Support, Trouble Shooter & FAQs. next page Windows XP SP2,  the link is at the bottom of the next page under Need More Help. I could not post the URL. I had to download the ActiveX  to send my info to microsoft.
