Sewer,
Try this.
Shutdown the computer.  Unplug the AC power cord.  Press the power button on the front of the case.  Remove both memory sticks.  Reinstall just one in DIMM Slot 0.  Reconnect power.  Turn on computer.  Do you still get the error message?  If so, shut down again.  Remove power.  Press power button.  Remove the memory you installed. Install the other one.  Reconnect power.  Power back up.  Do you still get the error message?  If yes, then shut down again.  Remove power. Press power button.  Reinstall both memory sticks.  Be sure they are seated properly.  Let us know what occurred in each configuration.

Thank you, for replying. I did it with just one and it didn't do anything, so i did it putting both one in and it worked but two messages came up: one of the files containing the ssystem's Registry data had to be recovered by use of a log or alternate copy. The recovery was successful. the other message was: a problem is preventing windows from accuratley checking the license for this computer Error Code 0x80090006. So i had to shut down and when i cut the computer back on it was back to square one again, showing the message about the memory.

The Stop: 0x0000008E message that you received basically relates to RAM.  See this: http://support.microsoft.com/?kbid=315335
 
The first bugcheck parameter  (cx0000001d) indicates an attempt was made to execute an illegal instruction.

The message "a problem is preventing windows from accurately checking the license for this computer Error Code 0x80090006" indicates that Windows XP did not find the hard drive signature.  This usually occurs when a hard drive is cloned incorrectly to a larger or smaller drive.
 
Maybe we need to go back to your first post and have you explain what you meant by "it was format".

Dell tech guys formated the computer and sent me another operating system reinstallation CD, i had soon many different ones calling me to try and fix the computer.  They had me going to all kinds fo things to do.  It finaly got to the stage where i can get on windows but the error comes up.  May be you think i needs to start all over again with the formating. Can you send me instruction on the right way in formating my computer.  I had to install everything back. I really needs this computer fix b/c i do monograming and embroidery with that computer and i'm behind in my orders. This has been going on for 2 wks.  I have my operating system cd and dell resource cd.

I can appreciate your situation.  I have several customers in your line of business.  Clean install and repair install of Windows XP is pretty straightforward.  The www.windowsreinstall.com site has walkthroughs of almost every conceivable type of install/reinstall of Windows XP:
 
To do a clean install of Windows XP Home SP2 go here:  http://www.windowsxphome.windowsreinstall.com/sp2installxpcdoldhdd/indexfullpage.htm .
 
To do a repair install of Windows XP Home SP2 go here:  http://www.windowsxphome.windowsreinstall.com/installxpcdrepair/indexfullpage.htm .
 
Once Windows XP is up and running you will need to install your device drivers.  Install the chipset drivers first, then video, audio, network card drivers in any order thereafter.  All drivers for the Dell Dimension 5150 are here: http://support.dell.com/support/downloads/devices.aspx?c=us&cs=04&l=en&s=bsd&SystemID=DIMENSION%205150/E510&os=WW1&osl=EN .
 
Thereafter, immediately install your antivirus software and turn on the Windows Firewall and Windows automatic updates.  Once your Windows is updated, then install your application software.  Note:  Some application software installations require that you temporarily turn off your firewall and antivirus autoprotection.  Check your application software installation guides on these issues.
