First install without entering the product code. after the instalation is complete do not activate. Run the upgrade again and this time enter the product code. Vista will activate and your done...
The above is what I have read from others. I upgraded my laptop from XP Media Center to Home Premium without flaw, I did however delete the bloatware Dell installed at factory....ie netzero,earthlink aol, and Norton. Also when I first started my computer I confronted with a big dirty trick. The Dell aggreement. Instead of agreeing I declined and google deleted itself. Thats a biggie. If you agreed Google locks your computer to thier kernel.
Either way it goes but if you wipe the hard drive you lose the quick restore feature. Vista has its own quick restore but not in the upgrade version.
If you keep your system intact your quick restore will be disabled but it will still be there and all you have to do is repair it using the Goodell Quick Restore fix. Its an iso file you burn to disk and load up at restart. it fixes the Dell Quick Restore. I have done it several times.
Since I did the Upgrade I have had no problems at all but do have core 2 duo and 2gb of 667 mhz 5400 memory. E1505 laptop.
