Have you:

Run the Dell Diagnostics, to rule out a hardware issue?

Removed and reseated the system RAM?

Adjusted your paging file incorrectly?

Tried repairing IE, since this apparently only occurs when you close that?

Ruled out any recent changes to your system configuration which might be responsible?

"I have already gone through the virus removel section of the Dell support forum"
Does this mean that you had a virus (yes, I know you don't have one now) at one time, or what?

This could also be related to a bad .dll file, which may mean that it's a result of a recent program installation/removal or similar configuration change, but you should rule out the other potential causes.

i believe i had that error twice recently while i was using "windows media player 10".. i am not sure what caused it, but i heard recently that there was a "memory leak" problem with etrust's ez antivirus 7.0.1.4.. that might have caused the problem.. etrust has a new release now to fix the memory leak.. so, if you are using etrust's ez av r7, you can try installing the new release and see if that fixes the problem..

It has nothing to do with that because I don't run that anitvirus...umm I am out of ideas.  It is a really iwerd error. It only happens on certain websites.  I also learned that if I minimize the window before I exit it I don't get the error...grrrr

Since you haven't stated whether or not you've tried any of the diagnostic steps suggested in my original post, I'll refer you back to that.
