Sorry, no clue what the cause of your problem is. Only suggestion is: Did you recently add an USB device like a card reader? If yes, try to boot without it.
But you can do a clean install with your XP Upgrade CD. You will be prompted at some point to insert your Win 98SE CD as qualifying medium.
I suppose you could do a repair install with the XP Upgrade CD if you first slipstream SP2 into your XP CD (I haven't tried that yet, but there are some threads on this Forum). Nut sure that works with an upgrade, but otherwise - why should it not?
Whatever you do, make sure you have a backup of all your personal files, including e-mails, address book, Internet favorites and so on.
